TriZetto Files Registration Statement for Public Offering
NEWPORT BEACH, CA – April 16, 2001 – The TriZetto(R) Group, Inc. (Nasdaq: TZIX) filed a registration statement today with the Securities and Exchange Commission for a proposed offering of 5,000,000 shares of its common stock. Of the total shares to be offered, TriZetto will offer 4,000,000 shares, and existing stockholders will offer 1,000,000 shares.
The offering is being managed by Bear, Stearns & Co. Inc. and UBS Warburg LLC as joint book-running lead managers, and Salomon Smith Barney, Inc. as co-manager. The selling stockholders have agreed to grant the underwriters a 30-day option to purchase up to 750,000 shares of common stock to cover over-allotments, if any.
A registration statement relating to these securities has been filed with the Securities and Exchange Commission, but has not yet become effective.
